1. Scope of Services

TDC provides professional construction services including factory construction and relocation, office renovation, restaurant and bar interior works, as well as associated consulting and design support. All services will be performed in accordance with the scope agreed upon in each project proposal, quotation, or contract.

2. Consultation & Estimates

TDC may offer free initial consultations and rough cost estimates to potential clients. These estimates are for reference purposes only and are not legally binding. Final pricing, specifications, and timelines will be confirmed through a signed quotation or contract.

3. Project Proposals & Contracts

All projects will proceed only after both parties have agreed on the scope of work, schedule, and cost through an official quotation or contract. Any changes requested by the client after the contract is signed may result in additional costs or timeline adjustments.

4. Responsibilities of the Client

Clients are responsible for:

• Providing accurate and complete information about the project site and requirements.

• Ensuring timely access to the site for TDC’s staff and contractors.

• Securing necessary legal documents, permits, or approvals, unless otherwise agreed in writing.

• Making payments in accordance with the agreed schedule.

5. Responsibilities of TDC

TDC is responsible for:

• Executing the construction work according to the agreed plan, timeline, and standards.

• Ensuring compliance with applicable Vietnamese laws, safety regulations, and quality standards.

• Maintaining a clean, safe, and professional work environment.

• Communicating clearly with the client about any delays or changes.

6. Project Schedule & Delays

TDC will make reasonable efforts to complete projects on schedule. However, delays caused by force majeure events (e.g., extreme weather, supply issues, government regulations, or other unforeseeable circumstances) will not be the responsibility of TDC. In such cases, both parties will discuss and agree on a revised schedule.

7. Payments

All payments must be made according to the agreed payment schedule. TDC reserves the right to suspend or delay work in the event of late or incomplete payments. Late payments may incur additional charges as outlined in the contract.

8. Warranties & Aftercare

TDC provides after-service support for completed projects within the warranty period specified in each contract. Warranty coverage may vary depending on the type of work. TDC also offers optional maintenance services upon client request.

9. Intellectual Property

Any designs, drawings, or technical documents created by TDC remain the property of TDC unless otherwise agreed in writing. Clients are granted the right to use such materials for their specific project.

10. Limitation of Liability

TDC will not be held liable for any indirect, incidental, or consequential damages arising from project delays, unforeseen site conditions, or issues outside TDC’s control. Liability is limited to the amount stated in the signed contract.

11. Confidentiality

Both parties agree to keep all project-related information confidential and not disclose it to third parties without written consent, except where required by law.

12. Governing Law

These Terms of Service are governed by and interpreted in accordance with the laws of the Socialist Republic of Vietnam. Any disputes will be resolved through good faith negotiation. If necessary, disputes shall be submitted to the competent courts or arbitration centers in Vietnam.
